Terms & Conditions

IMPORTANT — BINDING AGREEMENT: These Terms and Conditions govern all transactions between the customer and Allied Industrial Machine Services, Inc.. By submitting payment — whether by credit card, ACH transfer, check, wire, or any other method — the customer acknowledges that they have read, understood, and agreed to all terms and conditions set forth herein, without exception. No physical signature is required for these terms to be binding.

Payment of this invoice constitutes the customer's acknowledgment that the products and/or services described herein were received, completed, and accepted as described. By submitting payment, the customer confirms that the work or goods delivered meet the agreed-upon specifications and that no material deficiencies existed at the time of delivery or completion. By remitting payment, the customer also waives the right to dispute services or initiate chargebacks except as outlined in the dispute resolution process in Section 3.

All sales are final unless otherwise agreed to in writing by Allied Industrial Machine Services, Inc. prior to purchase or commencement of work. Refunds for completed services or delivered goods will not be issued except in cases of a demonstrable error attributable to Allied Industrial Machine Services, Inc.

In the event that a customer is dissatisfied with any product or service provided by Allied Industrial Machine Services, Inc., the customer must notify Allied Industrial Machine Services, Inc. in writing within ten (10) calendar days of the invoice date or service completion date, whichever is later.

Allied Industrial Machine Services, Inc. will acknowledge receipt of written notice within two (2) to three (3) business days and will work in good faith to resolve the matter within fourteen (14) business days of acknowledgment.

The customer agrees that initiating a credit card chargeback or third-party payment dispute prior to completing the written dispute resolution process described in Section 3 above constitutes a breach of this agreement. Allied Industrial Machine Services, Inc. reserves the right to recover all costs associated with defending an unauthorized chargeback, including any fees assessed by our payment processor. Unauthorized chargebacks may be subject to a dispute processing fee of $50.00.

Work performed by Allied Industrial Machine Services, Inc. is limited to the products and services described on this invoice. Any changes to scope, materials, or deliverables requested after work has commenced must be agreed to in writing by both parties and may result in additional charges. Allied Industrial Machine Services, Inc. is not responsible for work, outcomes, or costs outside the agreed-upon scope.

Allied Industrial Machine Services, Inc.'s ability to complete work as described is contingent upon timely customer cooperation, including but not limited to providing access, approvals, materials, and accurate specifications. Delays, errors, or additional costs resulting from incomplete or inaccurate customer-provided information are not the responsibility of Allied Industrial Machine Services, Inc. and may affect delivery timelines or final pricing.

Upon pickup of equipment, completed goods, or any other deliverable from Allied Industrial Machine Services, Inc.'s facility, the receiving party confirms on behalf of the customer that all items were received in satisfactory condition and in the quantity described on this invoice. Allied Industrial Machine Services, Inc. is not responsible for damage, loss, shortage, or discrepancy reported after equipment or goods leave our facility at 1245 W. Broad St., Falls Church, VA 22046.

A Pickup Receipt must be completed and signed at the time of pickup. The signed receipt serves as confirmation of delivery and acceptance.

Allied Industrial Machine Services, Inc.'s liability for any claim arising from products or services provided shall not exceed the total amount paid by the customer for the specific product or service giving rise to the claim. Allied Industrial Machine Services, Inc. shall not be liable for any indirect, incidental, special, or consequential damages of any kind, including but not limited to loss of revenue, loss of use, or cost of substitute goods or services.

Unless explicitly stated in writing on this invoice or in a separate written agreement, Allied Industrial Machine Services, Inc. makes no warranties, express or implied, beyond those required by applicable law. Any warranty claims related to third-party or manufacturer-supplied products should be directed to the respective manufacturer.

Invoices are due upon receipt unless otherwise stated in writing. Balances remaining unpaid after thirty (30) calendar days of the invoice date are subject to a late fee of 1.5% per month on the outstanding balance. Allied Industrial Machine Services, Inc. reserves the right to suspend services on accounts with outstanding unpaid balances.

This agreement and any disputes arising hereunder shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia. Any disputes not resolved through the process described in Section 3 shall be subject to the exclusive jurisdiction of the courts of Fairfax County, Virginia.
